1. Description of Services
Institution provides a technology-enabled financial operations platform, including but not limited to bookkeeping, tax preparation and filing, R&D tax credit services, and accounts receivable/payable automation. All services are provided based on the information you provide. Institution is not a public accounting firm and does not provide audit, attestation, or other public accounting services.
2. User Accounts and Responsibilities
Account Creation
You must be at least 18 years of age to use our Services. When you create an account, you agree to provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your account.
Account Security
You are responsible for safeguarding the password and any multi-factor authentication credentials used to access the Services. You agree not to disclose your password to any third party and must notify us immediately if you become aware of any breach of security or unauthorized use of your account.
Your Data
You are solely responsible for the accuracy, quality, and legality of all data you provide to us (“User Data”). You grant Institution a worldwide, non-exclusive, royalty-free license to use, host, reproduce, and display User Data solely for the purpose of providing and improving the Services.
3. Payment and Subscriptions
Subscription Fees
Our Services may be billed on a subscription basis (“Subscription”). You will be billed in advance on a recurring and periodic basis, such as monthly or annually, depending on the subscription plan you select.
Renewals
Your Subscription may automatically renew at the end of each billing cycle under the same conditions unless you cancel it or Institution cancels it. You may cancel your Subscription renewal by contacting our team.
Fee Changes
Institution may modify Subscription fees at any time in its sole discretion. Any fee change will become effective at the end of the then-current billing cycle. We will provide reasonable prior notice of any material fee change.
4. User Conduct
You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. You may not:
- Use the Services in any way that could damage, disable, overburden, or impair an Institution system or network.
- Attempt to gain unauthorized access to Services, accounts, or systems.
- Use automated systems such as robots or spiders to access the Service without authorization.
- Upload or transmit malicious software, viruses, or destructive code.
5. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share personal information. By using our Services, you agree to the collection and use of information in accordance with that policy.

The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied. Institution does not warrant that the Service will be uninterrupted, secure, or error-free.

To the maximum extent permitted by law, Institution, its directors, employees, partners, and agents shall not be liable for indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Services.

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions.
